TQ (also referred to as “Timeless QR”), including the website at tqcodes.com and its related apps and services (together, the “Platform”), is a product of The Corridor Technologies Limited, a company registered in the Republic of Uganda (“the Company”, “we”, “us”, “our”). By creating an account or using the Platform, you agree to these Terms & Conditions. Please read them carefully. If you do not agree, do not use the Platform.
1. Who we are
TQ is owned and operated by The Corridor Technologies Limited. TQ (Timeless QR) and “Timeless Branch” are both products of the same Company; if you previously used Timeless Branch, your account continues with us under TQ. These Terms form a binding agreement between you and the Company, and apply to everyone who uses the Platform — whether you create QR codes, publish pages, sell, buy, or simply browse.
2. Eligibility & your account
You must be at least 18 years old, or the age of majority where you live, and able to enter a binding agreement. You must give accurate information and keep it up to date. You are responsible for all activity on your account and for keeping your login details secure. Tell us promptly if you suspect unauthorised use of your account.
3. Credits & payments
The Platform runs on credits, which you buy in advance and which are priced in Ugandan Shillings (UGX). Credits are spent when you create or maintain certain items (for example dynamic QR codes, publications, and monthly-hosted content) at the rates shown in the app, which we may change from time to time. Credits have no cash value, are non-transferable, and are non-refundable except where required by law. Payments are processed through our third-party mobile-money payment provider; we do not collect or store your card or bank card numbers.
4. Selling, fees & payouts
If you sell through the Platform (tickets, products, downloads, donations, or paid content), you are the merchant of record for those sales. You are responsible for what you offer, for fulfilling orders, for the accuracy of your listings, and for any taxes that apply to your earnings. A platform fee and applicable service fees are deducted as shown in the app, and your remaining earnings are paid out to the mobile-money account you provide. Payouts are made through our payment provider and may be subject to that provider's authorisation, timing, and charges. We are not a bank and do not provide banking or escrow services.
5. Your content
You keep ownership of the content you upload or create (“Your Content”). You grant the Company a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and display Your Content solely to operate and provide the Platform and the features you use. You represent that you have all rights needed to upload Your Content and that it does not infringe anyone's rights or break any law. You are solely responsible for Your Content and for the goods, services, and information you make available through it.
6. Our intellectual property
The Platform, the TQ and Timeless QR names and logos, and all software, designs, and materials that make up the Platform are owned by The Corridor Technologies Limited or its licensors and are protected by intellectual-property laws. Except for Your Content, nothing in these Terms transfers any ownership to you. You may not copy, modify, reverse-engineer, resell, or create derivative works from the Platform except as expressly allowed.
7. Acceptable use
Don't use the Platform for fraud, spam, malware, phishing, or anything unlawful, infringing, deceptive, or harmful; don't impersonate others; don't collect data unlawfully; and don't attempt to disrupt, overload, or gain unauthorised access to the service. We may review, suspend, or remove accounts, content, or codes that break these rules or the law.
8. Third-party services
The Platform relies on third parties — including our mobile-money payment provider, email delivery, mapping, content-delivery, and network providers — to work. Your use of features that depend on them may also be subject to their terms. We are not responsible for third-party services we do not control, or for losses caused by their acts, outages, or decisions.
9. Availability, disclaimers & liability
We work hard to keep the Platform running, but we provide it “as is” and “as available”, without warranties of any kind. To the fullest extent permitted by law, the Company is not liable for indirect, incidental, special, or consequential losses, or for lost profits, revenue, data, or goodwill, arising from your use of the Platform. Where liability cannot be excluded, our total liability is limited to the amount you paid us for the Platform in the three months before the event giving rise to the claim.
10. Suspension & termination
You may stop using the Platform and close your account at any time. We may suspend or end your access if you break these Terms, if required by law, or to protect the Platform or other users. Some content you published (for example a printed QR code that resolves to a page) may stop working when your account or that content is removed. Terms that by their nature should survive termination (such as ownership, disclaimers, and liability) will continue to apply.
11. Governing law
These Terms are governed by the laws of the Republic of Uganda. You and the Company submit to the exclusive jurisdiction of the courts of Uganda for any dispute arising out of or relating to these Terms or the Platform.
12. Changes
We may update these Terms from time to time. When we do, we will change the “Last updated” date above. Continued use of the Platform after changes take effect means you accept the updated Terms.
